Brands May Get A New Weapon To Keep Unauthorized Sellers Off Amazon With Josie Maran Lawsuit

Try as they might, brands have long been challenged to keep their products out of the hands of unauthorized resellers. This is especially troublesome to luxury brands where exclusive distribution is a pillar of luxury brand marketing.

Such resale has been allowed under the First Sale Doctrine. This law doesn’t give copyright or trademark owners control over lawfully-made products once they are sold on, even if that sale is not authorized by the copyright or trademark owner.

Exercising control over unauthorized resale has been further exacerbated by Amazon AMZN, https://amzn.to/2BbUeba, and its third-party Amazon Marketplace.

Amazon has been a thorn in the side of brands for years, since it is frequently alleged to be a major source of counterfeit goods. And its Marketplace allows resellers who get their hands on authentic branded products, sometimes through underhanded means, to sell them on its platform.

Now in a potentially important trademark case, Josie Maran Cosmetics may offer a new way for brands to take back control. And it is using Amazon’s, https://amzn.to/2BbUeba, own stated third-party policies to further reinforce its claim filed in June against Morning Beauty in the California Central District Court in Los Angeles.

The substance of Josie Maran’s suit is that Morning Beauty violates its trademark because the products being sold are “materially different” from products sold by the company or its authorized resellers.

“The only way you can stop someone from selling a trademarked item after the first sale is if the product is ‘materially different,’” explains attorney Milton Springut, who specializes in trademark, copyright, and patent litigation.

“Josie Maran warranty policy states that it will not honor the product warranty for goods bought from someone outside their authorized channels. So these products are materially different from products Josie Maran and its authorized dealers are selling.”

In this case, the products sold by Morning Beauty are not claimed to be counterfeit or fake, only that the products sold on Amazon, https://amzn.to/2BbUeba, are not supported by the manufacturer’s brand-approved quality controls after production and without the warranty that consumers who buy through authorized dealers are granted.

Ipso facto, the Josie Maran products sold by Morning Beauty are materially different from those bought from the company or its authorized dealers, like QVC QVCA .

Further strengthening Josie Maran’s suit are Amazon’s own policies. First, all branded products sold in its third-product marketplace must be the same as what the brand owner is selling.

“These [Josie Maran] goods that come through the unauthorized reseller can’t be claimed to be the same. That is not true,” Springut states, because they don’t carry the same warranty.

Second, sales of a particular product on Amazon, regardless of seller, are sold under the same Amazon Standard Identification Number (ASIN).

“With the same ASIN all the products get thrown into the same bin. You really don't know who the supplier of any particular unit is,” he continues.

The next obvious question is whether Amazon, https://amzn.to/2BbUeba, bears some liability in the suit as well.

“Quite frankly, not many clients out there want to take on Amazon,” he says, and tantalizingly adds, “I’ve been looking for someone to do that, because the legal tools already exist to stop Amazon and protect clients in the luxury goods space. But most clients just don’t want to tangle with Amazon.”

Springut believes Josie Maran presents a good theory to test in court and if the “law in interpreted correctly,” the company has a good chance of winning. But the Los Angeles court where the case is filed is a wildcard. “That court is a hard one, and I have given up predicting what happens in cases there,” he says.

If Josie Maran Cosmetics wins its suit, it will give brands a new way to keep goods from unauthorized resellers off Amazon.

“The best thing for other brands is that Josie Maran stays strong and pushes this all the way through,” he says. But even if the suit is settled out of court, brands can still be guided by these principles to fight back against unauthorized resellers on Amazon.

“To me, if you are a brand, Amazon, https://amzn.to/2BbUeba, is a terrible place to be,” Springut concludes. “You can’t do anything with Amazon customers who buy your brand. You can’t go directly to them. You’ve got to go through the Amazon platform. And then there are all the other things Amazon does to kill you. It’s amazing.”
